Alexis Life LLC, a Delaware limited liability company (“Alexis,” “Alexis Life,” “we,” “our,” or “us”), owns and operates alexislife.com (the “Website”).

Your use of the Website and anything associated with it, including its services, features, content, applications, communications, technology, administrative services, and other functionality, are collectively referred to as the “Services.”

These Terms of Use (“Terms”) are entered into between you and Alexis Life LLC and govern your access to and use of the Website and Services.

Alexis provides the consumer-facing Website and related technology, administrative coordination, customer support, payment facilitation, and other non-clinical services.

Healthcare services accessible through the Website are provided separately by independent licensed healthcare professionals and professional medical entities, as further described in Section 3.

Please read these Terms carefully.

By accessing or using the Website or Services, creating an account, submitting information, making a purchase, or clicking to accept or agree to these Terms when that option is presented, you acknowledge that you have read, understood, and agree to be legally bound by these Terms.

If you do not agree to these Terms, you may not use the Website or Services.

Section 20 of these Terms contains a mandatory arbitration provision, class action waiver, and jury trial waiver. Except as provided in Section 20 or where prohibited by law, you and Alexis agree to resolve disputes on an individual basis through binding arbitration rather than in court.

1. Privacy

Please review the Alexis Life Privacy Policy for information about how Alexis collects, uses, maintains, and discloses personal information.

When you request or receive healthcare services through the Website, certain medical or health information may also be subject to a separate Notice of Privacy Practices provided by the professional medical entity responsible for your care.

Different entities involved in providing or facilitating your Services may have different legal responsibilities concerning your information.

To facilitate Services you request, Alexis may transmit information you provide to appropriate healthcare professionals, professional medical entities, pharmacies, laboratories, payment processors, technology vendors, and other service providers as described in applicable privacy disclosures and as permitted by law.

Nothing in these Terms grants Alexis a broader right to use identifiable health information than the rights provided by the Alexis Life Privacy Policy, any applicable Notice of Privacy Practices, your authorizations or consents, or applicable law.

2. Changes to These Terms

Alexis may revise these Terms from time to time.

The “Last Updated” date at the top of these Terms identifies when they were most recently revised.

Unless applicable law requires additional notice or consent, revised Terms become effective upon posting to the Website or on any later effective date stated in the applicable notice.

If a revision materially affects your rights or obligations, Alexis will provide notice where required by applicable law.

Your continued use of the Website or Services after revised Terms become effective constitutes your acceptance of the revised Terms to the extent permitted by law.

If you do not agree to revised Terms, you must discontinue use of the affected Services and cancel any future recurring Services in accordance with the applicable cancellation procedures.

3. The Website Does Not Provide Medical Advice

General information and content available on or through the Website are provided for informational and educational purposes and, where applicable, as advertising for available healthcare services.

General Website content is not individualized medical advice and is not intended to substitute for professional medical advice, diagnosis, or treatment.

You should always consult an appropriately licensed healthcare professional regarding questions about your health, symptoms, medications, medical conditions, or treatment before making healthcare decisions.

Healthcare Services

Alexis Life LLC is not a medical practice and does not practice medicine.

Alexis does not diagnose medical conditions, determine clinical eligibility, prescribe medications, establish dosages, or make medical treatment decisions.

Alexis works with OpenLoop Health, Inc. (“OpenLoop”) to facilitate access to licensed healthcare professionals who provide clinical services through independent professional medical entities (collectively, the “Medical Practices”).

A physician, nurse practitioner, physician assistant, or other appropriately licensed healthcare professional providing clinical services through a Medical Practice is referred to in these Terms as a “Provider.”

Providers are independently responsible for the healthcare services they provide and exercise independent professional medical judgment.

Neither Alexis nor payment for an Alexis program controls, directs, or guarantees a Provider’s medical decisions.

Information you submit through an intake questionnaire or other part of the Website may be made available to a Provider for clinical review.

Following review of your information, a Provider may:

  • determine that you are or are not eligible for a particular treatment;
  • request additional information;
  • request medical records;
  • require laboratory or diagnostic testing;
  • request photographs or other clinical information;
  • require a synchronous telehealth consultation;
  • recommend or require an in-person evaluation;
  • prescribe a treatment different from one you initially requested;
  • determine a medication, formulation, dose, frequency, or duration;
  • decline to prescribe medication;
  • modify an existing treatment;
  • decline to renew a prescription;
  • discontinue treatment; or
  • recommend care from another healthcare professional or healthcare setting.

Providers retain sole and independent professional discretion regarding whether any medication is prescribed.

Completing an assessment, passing an initial screening, creating an account, submitting payment, purchasing a program, or requesting a particular medication does not guarantee that a prescription will be issued.

A clinician-patient relationship may be established between you and the applicable Provider and Medical Practice in accordance with applicable law.

Your use of the Website does not create a doctor-patient or other clinician-patient relationship between you and Alexis Life LLC.

Before receiving healthcare services, you may be required to review and accept a separate Telehealth Consent, Notice of Privacy Practices, treatment-specific consent, or other clinical documentation.

Those documents govern the applicable clinical relationship in addition to these Terms.

4. Reliance on Information Posted

Alexis makes reasonable efforts to provide useful and current general information on the Website.

Medical science, clinical guidance, product availability, regulatory requirements, and other information may change over time.

Website content therefore may not reflect the most recent scientific evidence, regulatory developments, professional recommendations, medication labeling, or circumstances relevant to your individual health.

You should not start, stop, increase, decrease, combine, substitute, or otherwise alter medication or treatment solely because of general information appearing on the Website.

Individual results vary.

Alexis does not guarantee any particular health, weight-management, metabolic, longevity, sexual-health, wellness, aesthetic, or other result.

Nothing in this Section limits any obligation that applicable law does not permit Alexis to disclaim.

5. Communication Preferences; Electronic Notices and Signatures

By creating an account or using the Services, you consent to receive electronic communications concerning your account, requested Services, and healthcare services at the email address, mobile telephone number, patient portal, or other contact information you provide.

Depending on the nature of the communication, communications may be sent by Alexis or another party involved in providing or facilitating the Services.

Communications may include:

  • account notifications;
  • identity-verification communications;
  • appointment information;
  • clinical communications;
  • prescription and fulfillment information;
  • shipping notifications;
  • billing and payment notices;
  • customer-support communications;
  • security notices; and
  • legally required disclosures.

Message, data, telephone, or internet charges imposed by your service providers may apply.

If you separately consent to receive marketing communications from Alexis, Alexis may send promotional emails, telephone communications, or text messages relating to Services, promotions, news, surveys, or other Alexis information.

Consent to receive promotional text messages or telephone calls is not a condition of purchasing goods or services.

You may unsubscribe from promotional emails using the unsubscribe mechanism included in the applicable communication.

Where supported, you may opt out of promotional text messages by replying STOP and request assistance by replying HELP.

Opting out of promotional communications does not necessarily prevent transactional, account-related, safety-related, legally required, or clinical communications permitted by law.

You agree that electronic notices, disclosures, agreements, consents, and communications may satisfy legal requirements that such communications be in writing.

You further agree that clicking an acceptance button, checking a box, typing your name, or using a touchscreen, mouse, keypad, or similar electronic action intended to indicate agreement may constitute your electronic signature to the extent permitted by law.

6. Changes to the Website

Alexis may modify, improve, update, suspend, discontinue, remove, or introduce Website content, functionality, products, Services, treatment categories, or technologies at any time.

Availability of healthcare services, Providers, medications, pharmacies, formulations, and particular treatments may change because of clinical, legal, regulatory, geographic, supply, or operational considerations.

Alexis does not guarantee that any particular Website feature, treatment, medication, dosage form, Provider, pharmacy, product, or Service will remain continuously available.

7. Ownership of the Website and Content

The Website and its content, design, organization, software, user interfaces, text, graphics, photographs, videos, audiovisual material, logos, branding, and other materials are owned by Alexis or used under authorization or license, except where identified as belonging to a third party.

The Website and its content are protected by applicable copyright, trademark, patent, trade-secret, and other intellectual-property laws.

Subject to these Terms, Alexis grants you a limited, revocable, non-exclusive, non-transferable right to access and use the Website for your lawful, personal, non-commercial use.

No right, title, or ownership interest in the Website or its content is transferred to you.

All rights not expressly granted are reserved.

8. Trademarks

The Alexis, Alexis Life, and related Alexis names, logos, product names, service names, designs, slogans, trade dress, and branding are trademarks, service marks, or other protected property of Alexis Life LLC or its licensors.

You may not use Alexis marks without prior written authorization.

All other names, logos, trademarks, product names, service names, designs, and slogans appearing on the Website are the property of their respective owners.

Reference to a third-party product, company, or trademark does not transfer ownership of that mark to Alexis and does not necessarily imply endorsement.

9. Your Use of the Website

These Terms permit you to access and use the Website solely for lawful, personal, non-commercial purposes.

You agree not to:

  • reproduce, distribute, modify, create unauthorized derivative works from, publicly display, publicly perform, republish, sell, commercially exploit, download, store, or transmit Website content except as expressly authorized;
  • reverse engineer Website software except where such restriction is prohibited by law;
  • use the Website in violation of applicable law;
  • impersonate Alexis, an Alexis employee, a Provider, another user, or any other person or entity;
  • provide materially false or misleading identity, health, eligibility, location, payment, or other information;
  • obtain or attempt to obtain prescription medication for another person;
  • share, resell, transfer, or distribute prescription medication prescribed specifically to you;
  • use any robot, spider, scraper, crawler, automated device, or automated process to access or extract Website materials without authorization;
  • use a manual process to systematically monitor or copy Website content for an unauthorized commercial purpose;
  • interfere with another person’s use of the Website;
  • disable, overload, damage, disrupt, or impair the Website or related systems;
  • introduce viruses, Trojan horses, worms, malware, logic bombs, malicious code, or other harmful material;
  • attempt to gain unauthorized access to accounts, databases, computers, servers, networks, or other systems;
  • conduct a denial-of-service or distributed denial-of-service attack;
  • circumvent security measures or technological access restrictions; or
  • otherwise interfere with the proper operation of the Website.

Alexis may restrict or suspend access where we reasonably believe the Website or Services are being used unlawfully, fraudulently, unsafely, or in material violation of these Terms.

10. Pharmacy and Fulfillment; Shipping; Packaging

The Website may facilitate fulfillment of prescriptions issued by a Provider.

Alexis is not a pharmacy.

Alexis does not manufacture, compound, dispense, label, package, or ship prescription medication.

If a Provider issues a prescription, that prescription may be transmitted to an independent appropriately licensed pharmacy (“Pharmacy”) for dispensing and fulfillment, as permitted by law.

The decision whether to issue a prescription is solely within the independent professional judgment of the Provider.

Partner Pharmacies

Depending on the applicable treatment, prescription, formulation, patient location, pharmacy licensure, medication availability, and other clinical or operational considerations, prescriptions may be fulfilled by one or more independent partner pharmacies, which may include:

  • RedRock Pharmacy
  • Health Warehouse
  • Precision Medicine
  • Triad Rx

Alexis and its clinical-services partners may work with additional or replacement pharmacies from time to time.

The Pharmacy that actually dispenses your prescription will be identified through your medication label, prescription documentation, fulfillment information, or related communications.

The inclusion of a Pharmacy in this list does not guarantee that the Pharmacy will dispense your prescription or that every medication or formulation is available through that Pharmacy.

Pharmacy Services

Each Pharmacy is independently responsible for its professional pharmacy services, including, as applicable:

  • prescription verification;
  • medication preparation;
  • compounding;
  • dispensing;
  • labeling;
  • pharmacist counseling;
  • packaging;
  • storage instructions;
  • fulfillment;
  • shipping preparation; and
  • compliance with applicable pharmacy laws and professional standards.

The particular Pharmacy used may vary by program, prescription, formulation, patient location, pharmacy licensure, medication availability, and other legal or operational considerations.

Where permitted by law and operationally available, you may have rights regarding pharmacy selection or prescription transfer.

Certain compounded medications or other prescriptions may not be transferable or available through all pharmacies.

Pharmacy Transfers

A prescription may be transferred between eligible pharmacies where permitted by law and clinically and operationally appropriate, including for reasons related to availability, fulfillment capacity, pricing, state licensure, or other operational circumstances.

Shipping

Shipping and delivery times are estimates and are not guaranteed.

Shipping may be delayed by circumstances including:

  • clinical review;
  • prescription processing;
  • pharmacy verification;
  • inventory availability;
  • medication preparation or compounding;
  • carrier delays;
  • weather;
  • holidays;
  • regulatory requirements;
  • inaccurate shipping information; or
  • circumstances outside Alexis’s reasonable control.

You are responsible for providing accurate delivery information and for promptly retrieving delivered medication.

Temperature-Sensitive Products

Certain medications require refrigeration or other temperature-controlled handling.

You are responsible for promptly retrieving shipments and following all storage instructions supplied by the Pharmacy or Provider.

If medication arrives damaged, appears compromised, is incorrect, or may have experienced an inappropriate temperature excursion, do not use it until you receive appropriate guidance from the Pharmacy or your Provider.

Packaging

Certain prescription products may be shipped in packaging that is not child-resistant where permitted by law.

Keep all medications secure and out of the reach of children and any person for whom the medication was not prescribed.

Compounded Medications

A Provider may determine that a compounded medication is medically appropriate for an individual patient when permitted by applicable law.

Compounded medications are not approved by the U.S. Food and Drug Administration (“FDA”). FDA does not review compounded medications before marketing for safety, effectiveness, or quality in the same manner that it reviews FDA-approved medications.

Compounded medications are not the same as FDA-approved generic medications.

The formulation, active and inactive ingredients, concentration, dosage form, strength, Pharmacy, and other characteristics of a compounded medication may vary depending on the Provider’s prescription, the patient’s clinical circumstances, pharmacy availability, and applicable law.

The determination whether to prescribe a compounded medication belongs to the Provider.

Alexis does not manufacture or compound medications.

Images of medications, vials, syringes, tablets, packaging, or other medical products displayed on the Website may be illustrative, and the product or packaging you receive may look different.

Discuss the risks, potential benefits, alternatives, and limitations of any compounded medication with your Provider.

11. Payment; Subscriptions; Automatic Renewal

By providing a credit card, debit card, or other payment method accepted through the Website (“Payment Method”), you authorize Alexis and its applicable payment processors to charge the Payment Method for amounts you expressly agree to pay, together with applicable taxes and other disclosed charges.

Before you complete a purchase, the applicable checkout process will disclose material financial terms as required by law, which may include:

  • the purchase price;
  • what is included;
  • whether a purchase is one-time, prepaid, installment-based, or recurring;
  • the timing of the initial charge;
  • whether the program automatically renews;
  • the amount or method of determining recurring charges;
  • the billing frequency;
  • applicable cancellation procedures or processing cutoffs;
  • material refund limitations; and
  • any separately identified clinical evaluation or consultation fee.

Submitting payment does not guarantee that a Provider will prescribe medication.

If your Payment Method is declined, invalid, expired, cannot be verified, or is otherwise unacceptable, your purchase, renewal, or fulfillment may be suspended, delayed, or canceled.

If a valid authorized amount remains unpaid, you remain responsible for that amount, and Alexis or its payment processor may retry the Payment Method as permitted by applicable law and payment-network rules.

Unless expressly stated otherwise, Services are offered on a cash-pay basis and are not billed to insurance.

Alexis does not guarantee that amounts paid are eligible for reimbursement from health insurance, Medicare, Medicaid, an HSA, an FSA, an employer-sponsored benefit program, or another third-party payer.

Recurring Programs

If you affirmatively enroll in a subscription or automatically renewing program, you authorize Alexis and/or its payment processor to charge your Payment Method at the price and frequency disclosed before enrollment until the subscription is canceled.

A program is not automatically renewing merely because it covers multiple weeks or months unless automatic renewal is clearly disclosed to you.

Where required by law, Alexis will provide applicable renewal reminders or price-change notices.

Cancellation

The cancellation method and any applicable processing cutoff will be disclosed at checkout, in your account, or otherwise before enrollment as required by law.

When Alexis describes a recurring subscription as “cancel anytime,” this means that you may cancel future automatic renewals at any time, subject to any clearly disclosed cutoff for an order that has already entered clinical or pharmacy fulfillment.

Cancellation prevents future automatic renewal after the effective cancellation date.

Cancellation does not automatically:

  • reverse charges validly incurred before cancellation;
  • make completed services refundable;
  • stop fulfillment of a prescription that has already entered non-cancellable pharmacy processing; or
  • make an otherwise non-refundable item refundable,

except where the Alexis Refund Policy, applicable checkout terms, or law provides otherwise.

A fixed-duration prepaid plan is not an automatically renewing subscription unless expressly described as such.

Any special cancellation or refund terms applicable to a prepaid fixed-duration plan will be disclosed before purchase.

Where online cancellation functionality is made available, you may use that functionality.

Alexis will not intentionally impose unreasonable barriers to cancellation.

Payment Processing and Financing

Payments may be processed through independent payment processors.

Alexis generally does not store complete payment-card numbers when payment processing is performed by a third-party payment processor.

Third-party financing or installment-payment options may be made available.

Any financing provider may have separate eligibility requirements, terms, repayment obligations, fees, interest charges, and privacy practices.

Your financing relationship is with the applicable financing provider.

Initiating a chargeback does not eliminate an otherwise valid payment obligation.

Alexis may restrict an account while a payment dispute or chargeback concerning legitimately owed amounts is investigated.

12. Refunds

Except as expressly provided in an applicable Alexis Refund Policy, transaction-specific disclosure, or applicable law, sales are final.

Prescription medications are prepared, dispensed, or allocated for an identified patient and generally cannot be returned to inventory for resale.

Accordingly, prescription medication is generally non-returnable and non-refundable once it has been compounded, dispensed, shipped, or entered irreversible pharmacy fulfillment, except where otherwise required by law or expressly provided in an applicable Refund Policy.

A separately disclosed clinical evaluation or consultation fee may be non-refundable once the applicable professional service has been performed.

If a Provider determines before medication has entered non-refundable fulfillment that you are not clinically eligible for the requested prescription, amounts collected for products or services that will not be provided will be handled according to the applicable Refund Policy and checkout disclosures.

If you receive an incorrect product or believe an order arrived damaged or compromised, promptly contact [email protected] so that Alexis may assist in coordinating review of the matter with the appropriate Pharmacy or service provider.

Nothing in this Section limits refund or cancellation rights that cannot legally be waived.

13. Promotions and Sweepstakes

Alexis may periodically offer discounts, promotional offers, referral programs, giveaways, sweepstakes, or other promotions.

Promotions may be subject to additional terms, eligibility requirements, geographic restrictions, expiration dates, exclusions, official rules, or other conditions.

When separate promotion-specific terms apply, those terms are incorporated by reference and control over these general Terms to the extent of a direct conflict regarding the applicable promotion.

14. Termination

Alexis may restrict, suspend, or terminate your access to all or part of the Website or Alexis Services where reasonably appropriate, including because of:

  • material violation of these Terms;
  • suspected fraud;
  • unauthorized payment activity;
  • misuse of prescription services;
  • threats to Website security;
  • unlawful conduct; or
  • discontinuation of a Service.

Where reasonably practicable and legally appropriate, Alexis may provide notice.

Separately, a Provider or Medical Practice may restrict, modify, suspend, or discontinue healthcare services for clinical, licensure, safety, professional, regulatory, geographic, or other lawful reasons.

Alexis cannot require a Provider to prescribe medication, renew a prescription, or continue treatment.

You may discontinue use of the Website at any time.

Discontinuing use of the Website does not by itself cancel an active recurring subscription.

Recurring subscriptions must be canceled in accordance with Section 11.

Any provisions that by their nature should survive termination will survive, including provisions concerning intellectual property, amounts already owed, disclaimers, limitation of liability, indemnification, governing law, and dispute resolution.

15. Links from the Website

The Website may contain links to or integrations with independent third-party websites and services, including those operated by Medical Practices, Pharmacies, laboratories, payment processors, financing providers, shipping companies, manufacturers, informational resources, or other parties.

Alexis does not control every third-party website or service and is not responsible for its content, availability, security, privacy practices, products, or services.

Your use of a third-party service may be governed by that third party’s own agreements and privacy policies.

A link, technical integration, or referral does not by itself constitute Alexis’s endorsement of every statement, product, service, practice, or policy of the third party.

If you access a third-party website or service, you do so subject to the applicable third-party terms.

16. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Website and general non-clinical Website content are provided on an “as is” and “as available” basis.

Alexis does not warrant that the Website will at all times be available, uninterrupted, error-free, secure, or free from harmful components.

To the fullest extent permitted by law, Alexis disclaims express, statutory, and implied warranties relating to the Website, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Alexis does not guarantee any particular medical or other health-related result.

Independent Clinical Services

Healthcare services are provided by Providers through the applicable Medical Practices and are not provided by Alexis Life LLC.

Providers are independently responsible for their professional medical judgment and healthcare services.

Nothing in these Terms is intended to eliminate or restrict any professional duty owed directly to you by a Provider or Medical Practice or any right that cannot lawfully be waived.

Independent Pharmacy Services

Pharmacy services are provided by independent Pharmacies and not by Alexis.

Each Pharmacy is independently responsible for the professional pharmacy services it provides, including preparation, compounding where applicable, dispensing, labeling, pharmacist services, packaging, and compliance with pharmacy law.

Some jurisdictions do not permit certain warranty exclusions.

Where an exclusion is prohibited, it will apply only to the maximum extent permitted by applicable law.

17. Limitation on Liability

To the fullest extent permitted by law, Alexis Life LLC and its affiliates, licensors, service providers, employees, agents, officers, and directors will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including loss of profits, revenue, data, goodwill, business opportunity, or similar losses, arising out of or relating to your access to, use of, or inability to use the Website or Alexis’s non-clinical services.

To the fullest extent permitted by law, Alexis’s total aggregate liability arising out of or relating to the Website, these Terms, or Alexis’s non-clinical services will not exceed the greater of:

(A) One hundred dollars ($100); or

(B) The amount you paid directly to Alexis during the twelve (12) months immediately preceding the event giving rise to the claim.

Nothing in these Terms makes Alexis responsible for a Provider’s independent professional medical judgment or a Pharmacy’s independent professional pharmacy services.

Nothing in these Terms excludes or limits liability that applicable law does not permit to be excluded or limited.

Certain jurisdictions restrict exclusions or limitations of liability.

In those jurisdictions, these provisions apply only to the maximum extent permitted by applicable law.

18. Indemnification

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Alexis Life LLC and its affiliates, officers, directors, employees, agents, licensors, service providers, successors, and assigns from third-party claims, liabilities, damages, judgments, awards, losses, costs, expenses, and reasonable attorneys’ fees arising out of or relating to:

  • your material violation of these Terms;
  • your unlawful or fraudulent use of the Website;
  • your intentional misuse of the Services;
  • your infringement of another person’s intellectual-property or legal rights; or
  • your use of Website content in a manner not authorized by these Terms.

This Section does not require you to indemnify Alexis for Alexis’s own negligence, willful misconduct, or other liability that applicable law does not permit Alexis to shift to you.

This Section does not make you responsible for the independent professional negligence of a Provider merely because you received healthcare services through the Website.

19. Governing Law and Jurisdiction

Except for the arbitration agreement in Section 20, which is governed by the Federal Arbitration Act, these Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles, to the fullest extent such a choice is legally enforceable.

Nothing in these Terms deprives a consumer of non-waivable protections provided by the law of the consumer’s state of residence.

For disputes between you and Alexis that are not subject to arbitration and for which forum selection is legally enforceable, you and Alexis consent to the jurisdiction of the appropriate state or federal courts located in the State of Delaware.

If applicable law requires a different forum, applicable law controls.

Separate agreements or clinical documents governing your relationship with a Provider or Medical Practice may contain different governing-law or dispute-resolution provisions applicable to that separate relationship.

20. Dispute Resolution; Binding Arbitration; Class Action and Jury Trial Waiver

Please read this section carefully. It affects your legal rights.

A. Scope

Except as expressly provided below or prohibited by applicable law, you and Alexis agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Website, Alexis billing, Alexis administrative services, or another matter for which Alexis is legally responsible will be resolved through binding individual arbitration.

This arbitration agreement applies to disputes between you and Alexis Life LLC.

It does not purport to modify or replace a separate arbitration agreement, dispute-resolution provision, malpractice provision, or other agreement that may separately apply between you and a Provider, Medical Practice, Pharmacy, or other independent third party.

B. Informal Resolution

Before initiating arbitration, the party asserting a dispute must provide written notice to the other party describing:

  • the claimant’s full name;
  • the email address associated with the claimant’s Alexis account, if applicable;
  • the nature and factual basis of the dispute; and
  • the relief requested.

The parties will attempt in good faith to resolve the dispute informally for thirty (30) days after a complete notice is received.

C. Binding Individual Arbitration

If a dispute subject to arbitration is not resolved informally within the applicable period, the dispute will be resolved through individual, non-representative, binding arbitration rather than a proceeding in a court of general jurisdiction.

The Federal Arbitration Act (“FAA”) governs the interpretation and enforcement of this arbitration agreement.

Unless the parties mutually agree otherwise, arbitration will be administered by Judicial Arbitration and Mediation Services, Inc. (“JAMS”) under the applicable JAMS consumer arbitration rules and procedures.

A single neutral arbitrator will decide the dispute.

Hearings ordinarily may occur by telephone, videoconference, or another remote method unless the arbitrator determines that an in-person proceeding is appropriate or applicable law requires otherwise.

If an in-person hearing is necessary, it will take place at a mutually reasonable location or another location determined in accordance with applicable JAMS rules and law.

The arbitrator may award remedies available on an individual basis that would otherwise be available in court, subject to these Terms and applicable law.

An arbitration award may be confirmed and enforced in any court of competent jurisdiction.

Arbitration fees will be allocated according to the applicable JAMS consumer rules and applicable law.

D. Exceptions

Nothing in this arbitration agreement prevents either party from:

  • pursuing an eligible individual claim in small claims court;
  • seeking temporary or preliminary judicial relief reasonably necessary to protect intellectual-property rights or prevent unauthorized access to systems;
  • communicating with or filing a complaint with a governmental or regulatory agency; or
  • pursuing a claim that applicable law prohibits from being subjected to mandatory arbitration.

Professional medical-negligence, malpractice, or other clinical claims relating to care furnished by a Provider are governed by applicable law and any separate agreement applicable to the Provider or Medical Practice.

Nothing in this arbitration provision expands Alexis’s responsibility for professional healthcare services.

E. Contractual Claims Period

To the fullest extent permitted by applicable law, any claim arising out of or relating to these Terms must be commenced within one (1) year after the claim accrues.

If applicable non-waivable law provides a longer limitations period, the applicable law controls.

F. Class Action Waiver

You and Alexis agree that each may bring claims against the other only in an individual capacity and not as a plaintiff, class member, or representative in any purported class, collective, consolidated, mass, or representative action or arbitration, except to the extent applicable law prohibits such a waiver.

An arbitrator may award relief only to the individual claimant and only to the extent necessary to resolve that claimant’s individual dispute.

G. Jury Trial Waiver

For any claim between you and Alexis that proceeds in court rather than arbitration:

You and Alexis knowingly and voluntarily waive the right to a trial by jury to the fullest extent permitted by applicable law.

H. Thirty-Day Arbitration Opt-Out

You have the right to opt out of this Alexis arbitration agreement.

To opt out, send an email to:

within thirty (30) calendar days after the date you first accept these Terms.

Use the subject line: ARBITRATION OPT OUT

Your notice must include:

  • your full name;
  • the email address associated with your Alexis account, if applicable; and
  • a clear statement that you are opting out of the arbitration provision in the Alexis Life Terms of Use.

A valid opt-out applies only to the individual submitting the notice.

If you validly opt out, neither you nor Alexis will be bound by this arbitration agreement with respect to disputes governed by the version of these Terms from which you opted out.

All other provisions of these Terms remain effective.

An opt-out submitted under these Alexis Terms does not affect any separate arbitration or dispute-resolution agreement you may have with a Provider, Medical Practice, Pharmacy, or another third party.

21. Waiver and Severability

No failure by Alexis to enforce a provision of these Terms constitutes a continuing waiver of that provision or a waiver of another right or provision.

Any waiver must be expressly made by the party granting it.

If any provision of these Terms is determined by a court or arbitrator with appropriate authority to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted by law or, if necessary, limited or severed so that the remaining provisions continue in full force and effect.

If any portion of Section 20 is determined to be unenforceable, the effect of that determination will be governed by the Federal Arbitration Act and other applicable law.

22. Geographic Restrictions

Alexis is based in the United States.

Currently offering services in all 50 states plus Washington D.C. Some services may not be available in all 50 states or Washington D.C. Subject to change.

The Website and Services are intended for use in jurisdictions in which the applicable Services may lawfully be offered.

Healthcare services are available only where the applicable Provider and Medical Practice are authorized to provide them.

You must accurately identify the state or jurisdiction in which you are physically located when requesting or receiving healthcare services.

Being able to access the Website from a location does not mean that a particular healthcare service, treatment, medication, prescription, or Provider is available in that location.

If you access general Website content from outside the United States, you do so on your own initiative and are responsible for compliance with applicable local law.

23. Entire Agreement

These Terms, together with the Alexis Life Privacy Policy, any applicable Alexis Refund Policy, and any other Alexis policy, checkout disclosure, promotion-specific term, or transaction-specific disclosure expressly incorporated by reference, constitute the agreement between you and Alexis concerning your use of the Website and Alexis’s Services.

Healthcare services may be subject to separate documents provided by the applicable Medical Practice or Provider, including:

  • Telehealth Consent;
  • Notice of Privacy Practices;
  • treatment-specific informed consent;
  • clinical policies;
  • patient financial policies;
  • medication or prescription disclosures; and
  • other documents applicable to your healthcare.

Those clinical documents govern the clinician-patient relationship and professional healthcare services to the extent they address those subjects.

Nothing in these Alexis Terms is intended to modify or supersede a separate agreement between you and a Provider, Medical Practice, Pharmacy, laboratory, financing provider, or other independent third party unless the applicable parties expressly agree otherwise.

If a specific clinical document conflicts with these Terms concerning professional healthcare services, the applicable clinical document controls as to the clinical relationship, while these Terms continue to govern your relationship with Alexis.

Alexis customer support does not provide medical advice.

Questions regarding your diagnosis, symptoms, medication, dosage, side effects, treatment, prescription, or other clinical matters should be directed to your Provider using the clinical communication method made available to you.

Questions concerning medication preparation, compounding, dispensing, labeling, storage, or pharmacy handling should be directed to the dispensing Pharmacy or your Provider.

Clinical Services Disclosure

Alexis Life LLC is not a medical practice and is not a pharmacy.

Alexis provides technology-enabled, administrative, customer-support, payment-facilitation, and related non-clinical services.

Medical treatment made available through Alexis is provided by independent licensed healthcare professionals practicing through professional medical entities within the clinical network supported by OpenLoop.

The applicable Provider retains independent professional judgment concerning diagnosis, clinical eligibility, treatment selection, medication selection, dosage, prescribing, renewal, modification, and discontinuation of treatment.

Payment to Alexis does not guarantee that a prescription will be issued or that a particular medication will be dispensed.

Where a Provider determines that a compounded medication is clinically appropriate and its use is permitted by law, a prescription may be filled by an independent appropriately licensed compounding pharmacy.

Compounded medications are not FDA-approved. FDA does not review compounded medications before marketing for safety, effectiveness, or quality in the same manner that it reviews FDA-approved medications.

Alexis does not manufacture, compound, dispense, or ship prescription medication.

By accessing or using the Website or otherwise accepting these Terms, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms.
